2. Eligibility and Account Registration

2.1 Eligibility

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.

2.3 Account Security

You must notify us immediately at support@coredevnexus.com if you suspect any unauthorized access to or use of your Account. We are not liable for any loss or damage arising from your failure to maintain adequate security of your credentials.

2.4 One Account per User

Unless explicitly authorized, each individual or legal entity may maintain only one active Account. Creating multiple Accounts to circumvent restrictions, limits, or suspensions is prohibited.

Subject to your compliance with these Terms and any applicable Subscription plan, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

4. Subscriptions, Payments, and Renewals

4.1 Subscription Plans

4.2 Billing

By purchasing a Subscription, you authorize us to charge the applicable fees to your designated payment method. All fees are stated in the currency displayed at checkout and are exclusive of applicable taxes unless otherwise indicated. You are responsible for all taxes associated with your purchase.

4.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current rate for the next billing period. We will provide reasonable notice of any material changes to pricing before renewal.

4.4 Refunds

If you provide us with suggestions, ideas, or feedback regarding the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose, including improving the Service, without any obligation to you.

8.4 Aggregate Liability Cap

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of the total fees paid by you to us in the twelve months preceding the event giving rise to the claim, or one hundred United States dollars (USD 100).

10. Termination

10.1 Termination by You

You may stop using the Service at any time and may close your Account by following the account deletion procedure described in your account settings or by contacting us at support@coredevnexus.com. Termination of your Account does not automatically entitle you to a refund of any prepaid fees.

10.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or if continued access poses a risk to the integrity or security of the Service or other Users.

10.3 Effect of Termination

Upon termination, your license to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, indemnification, and limitation of liability — shall continue to apply.

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. The specific jurisdiction shall be determined based on the location of the contracting entity as disclosed during account registration or in applicable order documentation.

12.2 Informal Resolution

Before initiating any formal dispute proceedings, you agree to first contact us at support@coredevnexus.com and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within thirty (30) days of receiving your notice.

12.3 Formal Proceedings

If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration or the competent courts of the applicable jurisdiction, as determined by the governing law applicable to the parties. Nothing in this section prevents either party from seeking injunctive or other equitable relief where necessary to protect intellectual property rights or confidential information.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Coredev Nexus with respect to the Service and supersede all prior agreements, understandings, or representations.

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, acts of government, infrastructure failures, or third-party service outages.
